Terms of Use
Effective June 1, 2026Please read these Terms of Use ("Terms") carefully before using the Surna Care platform, mobile applications, and related services (collectively, the "Service") operated by Surna Care, Inc.. By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
Acceptance of Terms
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be legally bound by these Terms and by our Privacy Policy, which is incorporated here by reference.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
Description of Service
Surna Care is a digital reproductive health companion platform that supports users across four stages of the reproductive journey: IVF, pregnancy, postpartum recovery, and early parenting. Features include journey tracking, mood logging, educational content, an AI companion named Sura, partner sharing, and wellness tools.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
Not a Medical Service
Surna Care is not a medical service and does not provide medical advice, diagnosis, or treatment.
All content, features, and AI-generated responses are for informational and educational purposes only. Nothing in the Service constitutes a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician, midwife, therapist, or other qualified health provider with any questions you may have regarding a medical condition.
If you are experiencing a medical emergency, call 911 (or your local emergency number) immediately. If you are in mental health crisis, contact the 988 Suicide and Crisis Lifeline by calling or texting 988, or text HOME to 741741 to reach the Crisis Text Line.
Surna Care does not review or edit AI-generated responses in real time. AI outputs may contain errors, omissions, or outdated information. You acknowledge that you are solely responsible for any decisions made based on information obtained through the Service.
Eligibility
You must be at least 18 years old to use the Service.
The Service is currently available only to users located in the United States. By using the Service you represent that you are a United States resident or are otherwise lawfully permitted to access the Service from your location.
You represent that you are not (a) located in a country subject to a U.S. government embargo, or (b) listed on any U.S. government prohibited or restricted parties list.
User Accounts
You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep that information updated.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@surnacare.com if you suspect unauthorized access to your account.
You may not share your account credentials, create more than one account per person, or create an account on behalf of another individual without their consent.
We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are inactive for an extended period.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
- Impersonate any person or entity or misrepresent your affiliation.
- Attempt to gain unauthorized access to any part of the Service, its servers, or connected systems.
- Introduce viruses, malware, or any other malicious or technologically harmful material.
- Scrape, crawl, or systematically collect data from the Service without our express written permission.
- Reverse-engineer, decompile, or disassemble any portion of the Service.
- Use the Service for any commercial purpose without our prior written consent.
- Provide false health information that could mislead AI-generated responses or care recommendations.
AI Companion ("Sura")
Surna Care includes an AI companion named Sura, powered by large language models. Sura is designed to provide informational support, answer general questions, and offer encouragement — not medical advice.
Sura does not replace clinical care. Sura cannot diagnose conditions, interpret lab results, recommend medications, or provide crisis intervention. Responses are generated based on training data and your stated profile; they may be incomplete, inaccurate, or not applicable to your individual situation.
Every response from Sura includes a disclaimer reminding you to consult your healthcare provider. These disclaimers are not optional and are not a limitation on the Service — they reflect the actual scope of what AI can responsibly provide.
Your conversations with Sura are used solely to generate your responses and are stored only as described in our Privacy Policy. We do not use conversation content to train AI models without your explicit consent.
Partner Access
Surna Care allows users to invite a support person ("partner") to access a limited view of their journey data. Partner access is granted via an explicit invitation and requires acceptance by the partner account.
Partners may only view the data modules the account holder has enabled. Partners do not have the ability to modify, delete, or export the primary account holder's health data.
The primary account holder may revoke partner access at any time. Revocation takes effect immediately. Partners who violate these Terms may have their accounts suspended.
Health Data and HIPAA
Surna Care is designed and operated in accordance with applicable healthcare privacy laws, including the Health Insurance Portability and Accountability Act (HIPAA) and its implementing regulations, to the extent applicable.
Health information you enter into the Service, including mood logs, cycle data, assessment results, journal entries, and baby tracking data, is treated as Protected Health Information (PHI) and is handled with the safeguards described in our Privacy Policy.
We do not sell, rent, or share your health information with third-party advertisers. We do not use your PHI to build advertising profiles.
You acknowledge that you are responsible for the accuracy of the health information you enter. Providing false or misleading health information may result in inaccurate AI responses or risk assessments.
Subscriptions and Payment
Certain features of the Service may require a paid subscription. Subscription fees, billing cycles, and cancellation terms are described at the time of purchase and on our pricing page.
All fees are in U.S. dollars unless otherwise stated. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period.
We reserve the right to change pricing with at least 30 days' advance notice to affected subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Fees are non-refundable except as required by applicable law or as described in our refund policy, which is incorporated here by reference.
Intellectual Property
The Service, including its software, design, text, graphics, logos, and AI models, is owned by Surna Care, Inc. and protected by United States and international intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written permission.
By submitting content to the Service (such as journal entries, community posts, or feedback), you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of providing the Service to you and as otherwise described in our Privacy Policy.
You retain all ownership rights in the content you submit. We claim no ownership over your personal health data or the content you create.
Third-Party Services
The Service integrates with third-party services including Google (AI services), Microsoft Azure (cloud infrastructure), Resend (email delivery), and Firebase (push notifications). Your use of these integrations may be subject to those providers' terms of service and privacy policies.
We are not responsible for the content, privacy practices, or terms of third-party services. Links to third-party websites are provided for convenience only and do not constitute our endorsement of those websites or their content.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
Surna Care, Inc. does not warrant that (a) the Service will function uninterrupted, secure, or error-free; (b) any results obtained from using the Service will be accurate or reliable; (c) the quality of information, products, services, or other material obtained through the Service will meet your expectations; or (d) any errors in the Service will be corrected.
We do not warrant the accuracy, completeness, or usefulness of any information provided through the AI companion or any other feature of the Service.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Surna Care, Inc., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (a) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (c) ANY CONTENT OBTAINED FROM THE SERVICE; OR (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (b) ONE HUNDRED DOLLARS ($100).
Indemnification
You agree to defend, indemnify, and hold harmless Surna Care, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; or (d) any content you submit to the Service.
Termination
We may suspend or terminate your account and access to the Service at our sole discretion, at any time, with or without cause, and with or without notice, including for violations of these Terms.
You may close your account at any time through your account settings or by contacting us at legal@surnacare.com. Upon account closure, your personal health data will be handled as described in our Privacy Policy.
Sections 3, 9, 11, 13, 14, 15, and 17 shall survive termination of these Terms.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be subject to informal resolution by contacting us at legal@surnacare.com. If informal resolution fails after 30 days, either party may bring a claim in the state or federal courts located in Middlesex County, Massachusetts, and you consent to the personal jurisdiction of those courts.
You agree to bring any claim within one (1) year of when it arose; claims brought after that period are barred.
Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the effective date above and notify you by email or through a prominent in-app notice at least 14 days before the changes take effect (except for changes required by law, which may take effect immediately).
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and may close your account.
